1. Agreement
1.1 The Nanager Resource Terms of Use ("Terms", “Agreement”) govern your
access and use of Resources and forms a binding agreement between you
and Nanager Pty Ltd (ACN 617 585 510) of 77-79 City Road, Southbank, Victoria,
3000 (“Nanager”, “we”, “our”).
1.2. By downloading or using the Resources you acknowledge and agree that
you have read and understand the Terms and you agree to be bound by
them. If you do not agree to the Terms, please do not use the Resources.
Nanager may, at its absolute discretion, change these Terms at any time and
we may add, amend or remove any Resources from this Website at any time
so you should check these Terms before you download Resources from the
Website.

2. Definitions
2.1 In this Agreement: “Intellectual Property” means all rights resulting from
intellectual activity whether capable of protection by statute, common law or
in equity in relation to: registered and unregistered designs and copyright,
inventions, patent rights, utility models, confidential information, trade
secrets, technical data and know-how, patent registrations and applications,
trade marks, domain names, social media accounts and all similar rights and
interests, plus all documentation regarding the aforementioned rights and
interests.
“Order” means an order for Resources made by you on the Site.
“Resources” and “Documents” means the nanny and family resource packages
and documents made available to you on the Website (including all rights to
Intellectual Property contained therein).
“Website” or “Site” means Nannyprintables.com.
3. License to Use Resources
3.1. Subject to your valid purchase under clause 6, we grant you a nonexclusive,
worldwide, personal, non-sublicensable and non-transferable
licence to use the Resources in accordance with the terms of this Agreement.
3.2. You may not, directly or indirectly, sell, assign, offer for sale, lend or
distribute any of the Resources without our prior written consent.
3.3. The Resources do not take into account your particular circumstances
and it is not intended to be comprehensive. Nanager does not make any
representation or warranty about the content of the Resources. The law and
other relevant circumstances may change from time to time and we do not
guarantee that the Resources will be complete, accurate or up-to-date. You
must satisfy yourself as to the suitability and fitness for purpose of the
Resources without relying on the skills or judgment of Nanager.
4. Consult Your Lawyer
4.1. The Resources are intended to provide you with useful and general
information relating to engaging nannies and childcare professionals. It does
not constitute legal advice and must not be relied upon as a substitute for
seeking legal advice.
4.2. We strongly recommend that you seek legal and other professional
advice specific to your circumstances before relying on or using any
Resources.
5. Pricing
5.1 All prices for the Resources are in Australian dollars and inclusive of GST
unless otherwise specified.
5.2 All prices displayed on the Site are subject to change without notice but
will not apply to Orders already placed by you prior to the prices changes
coming into effect.
5.3 Nanager may, at its absolution discretion, refuse a sale of Resources to
any person.
6. Purchases
6.1 You may Order Resources by adding the items to your cart on the Site
and clicking the checkout button.
6.2 You should take care when submitting an Order as, to the extent
permitted by law, Orders may not be cancelled once they have been received
by the Website.
6.3 By placing an Order, you make an offer to purchase the Resources you
have selected based on these Terms.
7. Limitation of Liability
7.1. You agree that Nanager will not be responsible for any loss, costs,
expenses, liabilities, personal injury, penalties, or damages (including indirect
or consequential losses or damages) incurred by you or anyone else in
connection with the Site or the Resources (including by errors or omissions in
the Resources) or in connection with the use of, or results of the use of, the
Resources or Site, any websites linked to it or any materials posted to it.
8. Disclaimers
8.1. The content and materials in the Resources are provided ‘as is’ and
without any guarantees, conditions or warranties as to its accuracy,
completeness, timeliness, reliability, currency or fitness for purpose. It is your
sole responsibility to determine that the Resources meet your specific needs
and are suitable for the purposes for which they are used. Your use of, and
reliance on, the Resources is at your own risk.
8.2. Nanager gives no warranty that the Resources or Website are free from
viruses, or that defects will be corrected.
8.3. Nothing in these Terms limits or excludes any guarantees, warranties,
representations or conditions implied or imposed by law, including the
Competition and Consumer Act 2010 (Cth) (“ACL”) which by law may not be
limited or excluded.
8.4. You also agree the following:
(a) if you are not a consumer under the ACL, Nanager has no direct or
indirect liability to you for your use of the Resources including, without
limitation any liability for loss of income or revenue, loss or interruption
of business, loss of profits or contracts, loss of anticipated savings, loss
of data, loss of goodwill, wasted management or office time and for
any other loss or damage of any kind;
(b) if you are a consumer under the ACL, Nanager limits its liability to
you to the consumer guarantees under the ACL, and
(c) if Nanager breaches an applicable consumer guarantee, liability will
be limited to:
+ In the case of goods, a replacement or resupply of equivalent goods,
or the equivalent cost of purchasing this, and
+ In the case of services, a re supply of the services or a payment
equivalent to the cost of having the services re supplied.
9. Indemnity
9.1. You agree to indemnify Nanager and its officers, employees, agents,
affiliates and assigns from and against any claims, proceedings, damages,
liabilities, losses, settlements, costs and expenses (including legal fees), arising
out of, or in connection with (directly or indirectly):
(a) the use by you or anyone else of the Website or Resources;
(b) any breach by you of these Terms.
This indemnity survives termination of this Agreement.
